Please read these Terms of Service carefully before using the Noble IT website or engaging our services. These terms constitute a legally binding agreement between you and Noble IT.
By accessing or using the Noble IT website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, clients, and others who access or use our services.
Noble IT provides managed IT support, cloud infrastructure consulting, custom software development, and related technology services. The specific scope of services provided to each client is defined in a separate service agreement or statement of work. Noble IT reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice.
Clients are responsible for providing accurate and complete information necessary for the delivery of services. Clients must maintain the confidentiality of any account credentials and notify Noble IT immediately of any unauthorized access. Clients are responsible for ensuring that their use of Noble IT services complies with all applicable laws and regulations.
Payment terms are specified in the applicable service agreement. On-demand support services are billed at the hourly rate in effect at the time of service. Managed IT plans are billed monthly in advance. Noble IT reserves the right to suspend services for overdue accounts. All fees are non-refundable unless otherwise specified in writing.
All intellectual property created by Noble IT in the course of providing services remains the property of Noble IT unless explicitly transferred in a written agreement. Custom software developed exclusively for a client and paid for in full may be transferred to the client upon written agreement. Noble IT retains the right to use general knowledge, skills, and experience gained during engagements.
Noble IT agrees to keep confidential all non-public information shared by clients in the course of service delivery. We will not disclose client information to third parties without prior written consent, except as required by law. Clients agree to keep confidential any proprietary methods, tools, or processes used by Noble IT in delivering services.
Noble IT handles client data in accordance with our Privacy Policy. We implement reasonable technical and organizational measures to protect client data. Clients retain ownership of their data at all times. Noble IT will not access, use, or disclose client data except as necessary to provide the agreed services.
Noble IT's liability for any claim arising out of or related to these terms or our services shall not exceed the total fees paid by the client in the three months preceding the claim. Noble IT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
Services are provided "as is" without warranty of any kind, express or implied. Noble IT does not warrant that services will be uninterrupted, error-free, or free of harmful components. Noble IT makes no warranties regarding the results that may be obtained from the use of our services.
Clients agree to indemnify, defend, and hold harmless Noble IT and its employees, contractors, and agents from any claims, damages, losses, or expenses arising out of the client's use of our services, violation of these terms, or infringement of any third-party rights.
Either party may terminate services with 30 days written notice. Noble IT may terminate services immediately for non-payment, breach of these terms, or conduct that poses a risk to Noble IT or its other clients. Upon termination, clients remain responsible for all fees incurred up to the termination date.
These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Santa Clara County, California.
Noble IT reserves the right to update these Terms of Service at any time. We will notify clients of material changes via email or by posting a notice on our website. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
